1. About These Terms
These Terms & Conditions ("Terms") govern your general use of the website operated by YALERIMA TECHNOLOGIES LIMITED ("YALERIMA", "we", "our" or "us"). By accessing the website, browsing its pages, submitting an enquiry or using a feature made available through the website, you agree to comply with these Terms to the extent applicable.
If you are using the website on behalf of a company, institution, organisation or other entity, you represent that you have appropriate authority to communicate on behalf of that entity. If you do not agree with these Terms, you should discontinue use of the website.
2. Our Services
YALERIMA TECHNOLOGIES LIMITED provides technology and digital services that may include software development, website development, digital platforms, management systems, school management solutions, real estate systems, healthcare-related systems, Islamic and herbal medicine information systems, technology consulting, maintenance, integration and other services agreed with individual clients.
The appearance of a service on this website does not guarantee that every feature, technology, timeline or commercial arrangement is available in every project. Requirements are assessed individually and may depend on scope, budget, technical feasibility, third-party services and client requirements.
3. Website Information
We make reasonable efforts to provide useful and current information on our website. However, website content may change as our services, projects, technologies, pricing structures and business operations develop. General website information should not be interpreted as a binding quotation, guarantee or contractual commitment unless expressly confirmed in writing by an authorised representative of YALERIMA.
4. Project Enquiries
Submitting a project request or contact form does not automatically create a contract. After receiving an enquiry, we may review the requirements and contact the requester for clarification. A project may proceed only after the parties have agreed on relevant matters such as scope, deliverables, timelines, responsibilities, fees and payment arrangements.
We reserve the right to decline an enquiry where the requested work is technically unsuitable, unlawful, unsafe, inconsistent with our professional standards or otherwise outside the services we are prepared to provide.
5. Quotations and Proposals
Any quotation, estimate or proposal provided by YALERIMA is subject to the assumptions, scope and validity period stated in that document. Estimates may change when requirements change, when information initially supplied by a client is incomplete or when third-party costs and technical requirements differ from the original assumptions.
A quotation should not be interpreted as acceptance of a project until the required approvals and contractual arrangements have been completed.
6. Scope of Work
Project scope is important because software systems can contain many connected components. Unless expressly included in an agreed scope, additional functionality, integrations, content creation, data migration, hosting, domain services, training, maintenance or third-party subscriptions may be treated as separate work.
Requests that materially expand the agreed scope may require a change request, revised timeline or additional fee. We will endeavour to communicate significant scope changes before carrying out chargeable additional work.
7. Client Responsibilities
Clients are responsible for providing accurate requirements, timely feedback, approved content, necessary credentials and access, legal permissions and other information reasonably required for the project. Delays in receiving required materials or decisions may affect delivery schedules.
- Provide accurate project information.
- Ensure supplied content may legally be used.
- Provide timely approvals and feedback.
- Maintain control of credentials supplied by the client.
- Identify applicable legal or industry requirements.
- Review deliverables and communicate material issues promptly.
8. Intellectual Property
Intellectual property ownership depends on the project agreement. Unless a separate agreement states otherwise, YALERIMA retains ownership of its pre-existing frameworks, reusable components, development methods, libraries, internal tools, know-how and general technical concepts.
Client-provided materials remain subject to the client's rights and responsibilities. Third-party software, fonts, images, APIs, plugins and other components may be governed by their own licences and terms. A client does not automatically receive ownership of third-party components merely because those components are used within a project.
9. Client Content and Permissions
When a client supplies logos, images, documents, text, trademarks, databases or other materials, the client is responsible for ensuring that it has the right to provide and use those materials. The client grants YALERIMA permission to use supplied materials as reasonably necessary to perform the agreed project.
We may refuse to use content that appears to infringe another person's rights, violate applicable law or create unreasonable security or ethical concerns.
10. Payments
Payment arrangements are determined by the applicable quotation, invoice or project agreement. Where staged payments are agreed, work may be dependent on receipt of the relevant payment. Third-party expenses, subscriptions, domain registration, hosting, licences and similar costs may be charged separately where applicable.
Failure to make an agreed payment may result in suspension, delay or limitation of project services until the payment matter is resolved.
11. Delivery and Acceptance
Software development is normally an iterative process. A deliverable may require testing, review and reasonable correction. Clients should provide useful feedback within the review period specified in an applicable agreement. Where no specific review period is stated, both parties should communicate promptly and reasonably.
A change that introduces new functionality is different from correcting an agreed deliverable that does not meet the documented scope. New functionality may be handled as additional work.
12. Maintenance and Support
Unless specifically included in a project agreement, completion of a website or application does not automatically include unlimited maintenance, hosting, technical support or future feature development. Software environments can change because of operating systems, browsers, APIs, hosting providers, security updates and third-party services.
Support plans, maintenance agreements or future development can be arranged separately where available.
13. Third-Party Services
Projects may depend on third-party platforms such as hosting providers, databases, payment processors, messaging services, maps, APIs, authentication services, domain registrars or analytics providers. Third-party outages, pricing changes, policy changes, API changes or account restrictions may affect a project.
We will make reasonable efforts to work around third-party issues where practical, but we cannot guarantee uninterrupted operation of services controlled by independent providers.
14. Security
We treat security as an important part of responsible software engineering and may use authentication, access controls, secure connections, database policies and other safeguards appropriate to a system. Nevertheless, no internet-connected system can be guaranteed to be completely immune from attacks, outages, vulnerabilities or unauthorised activity.
Clients are responsible for protecting their own credentials and should not share administrator passwords unnecessarily. If a client suspects that an account or credential has been compromised, it should notify the relevant responsible party promptly and take available protective action.
15. Prohibited Use
You must not use the website to conduct unlawful activity, attempt unauthorised access, interfere with website operation, distribute malicious code, impersonate another person, submit fraudulent information, abuse forms, probe restricted systems without permission or use our services for purposes that violate applicable law.
Attempts to bypass authentication, manipulate administrative functions or gain unauthorised access to client or company data may be treated as a security incident.
16. Confidential Information
Project discussions may involve confidential business or technical information. We expect both parties to use reasonable care when handling information that is clearly confidential. Where stronger confidentiality protection is required, the parties may enter into a separate non-disclosure or confidentiality agreement.
17. Portfolio and Public Project Information
YALERIMA may maintain a portfolio of selected projects or project descriptions. We will not assume that confidential client information can be publicly displayed merely because we performed technical work. Where a project is intended to remain confidential, the applicable agreement or written instruction should make that requirement clear.
18. Website Availability
We aim to keep the website available and functional, but temporary interruptions may occur because of maintenance, hosting issues, network failures, security events, updates or circumstances outside our reasonable control. We do not guarantee that the website will always be available without interruption or error.
19. Accuracy and Warranties
Website information is provided for general business and informational purposes. Except where a written project agreement expressly provides otherwise, the website and its general content are provided without a promise that every page, feature or statement will always be complete, current or error-free.
20. Limitation of Liability
To the extent permitted by applicable law, YALERIMA TECHNOLOGIES LIMITED will not be responsible for indirect, incidental, special or consequential losses arising solely from general website use or circumstances outside our reasonable control. Nothing in these Terms is intended to exclude liability that cannot legally be excluded.
Where a project agreement contains specific liability, warranty or remedy provisions, those provisions may apply to the relevant project instead of or in addition to these general website Terms.
21. Indemnity
To the extent permitted by applicable law and any separate agreement, a user or client should not use our website or services in a way that causes unlawful harm to another person or entity. Where a client supplies materials or instructions that violate another person's rights, the client remains responsible for those materials and instructions.
22. Termination or Suspension
We may restrict or suspend access to website features where reasonably necessary to protect security, investigate abuse, comply with law or prevent damage to our systems. Individual project agreements may contain separate termination provisions.
23. Privacy
Information submitted through the website is handled according to our Privacy Policy. Users should read that policy for information about collection, use, retention, security, third-party services and privacy-related requests.
24. External Websites
Links to third-party websites are provided for convenience or reference. We do not automatically endorse every external service linked from our website, and we are not responsible for third-party content, availability, security or policies.
25. Changes to These Terms
We may update these Terms when our website, services, business practices or legal requirements change. The updated version will be published on this page with an updated effective date. Your continued use of the website after an update constitutes continued acceptance of the applicable Terms to the extent permitted by law.
26. Governing Law
These Terms are intended to operate within the applicable legal framework of Nigeria. Where a dispute cannot be resolved through reasonable communication, the parties may rely on the applicable laws, courts and dispute-resolution mechanisms relevant to the circumstances and any separate project agreement.
27. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision should be interpreted or removed to the minimum extent necessary while the remaining provisions continue to operate to the extent permitted by law.
28. No Waiver
A failure to immediately enforce a provision of these Terms does not automatically mean that the provision has been permanently waived. Rights and obligations may still be exercised where appropriate.
29. Entire Project Agreement
These website Terms provide general rules and do not replace a project-specific agreement. Where a signed proposal, statement of work, service agreement, invoice, maintenance agreement or other written contract exists, that document may contain more specific obligations for the relevant project.
